New Rules for Companies Registered in Dubai Free Zones

In March 2025, Dubai introduced a new regulatory framework governing all companies incorporated in the emirate's free zones.

This is more than another administrative reform—it fundamentally changes how businesses operating in free zones will be regulated.

The most significant change is the introduction of a unified legal framework across all Dubai free zones. Previously, each free zone maintained its own corporate governance rules. Today, free zones such as DMCC, JAFZA, Dubai South, and others are subject to a common regulatory standard.

The Key Changes

Unified company register

Government authorities will now maintain a centralised register of companies across all free zones.

Mandatory financial reporting and audit

Companies must prepare annual financial statements in accordance with international accounting standards and undergo an external audit (unless they qualify as micro-enterprises).

Greater corporate governance transparency

Businesses must clearly document their management structure, including directors, decision-making procedures, and governance arrangements.

Enhanced liquidation procedures

Closing a company has become more regulated. Businesses can no longer simply cease operations without completing formal liquidation procedures.

Compliance with UAE legislation

Operating in a free zone no longer exempts companies from complying with UAE-wide requirements relating to taxation, financial reporting, and anti-money laundering (AML) regulations.

These reforms are designed to promote transparent and responsible business practices.

Greater transparency enhances confidence among banks, investors, business partners, and government authorities, while also reducing the risk of regulatory penalties or licence suspension.

Dubai continues to align its corporate regulatory framework with leading international jurisdictions. This is a positive development—but one that requires businesses to remain vigilant and fully compliant.
